GENERAL TERMS AND CONDITIONS OF ONLINE SALE

Preamble

These general terms and conditions of sale are entered into between Aurélie BENAZERA, hereinafter referred to as the “Seller”, and any natural person, hereinafter referred to as the “Customer”, wishing to purchase the products offered by the Seller, namely luxury jewelry, including “necklace cigarette cases”, necklaces incorporating a cigarette case, made of gold and silver, hereinafter referred to as the “Products”.

The Seller ensures in particular the marketing of the Products through the website www.sednon.com, hereinafter referred to as the “Website”.

The characteristics of the goods offered for sale online by the Seller may be consulted on the Website, in the product description.

The Parties agree that their relationship shall be governed exclusively by the present Contract.

The Seller reserves the right to modify these general terms and conditions of sale at any time by publishing a new version on the Website. The applicable general terms and conditions of sale are those in force on the date the order is validated. The Parties agree that photographs of the Products displayed on the Website have no contractual value.

Article I: Purpose

The purpose of this Contract is to define the rights and obligations of the Parties in the context of the online sale of the Products offered for sale by the Seller to the Customer.

Article II: Scope of Application

These General Terms and Conditions of Sale (GTCS) are reserved exclusively for consumers, as defined by law and case law, acting solely on their own behalf and domiciled in France, Europe, and outside the European Union.

In accordance with Articles L.111-1 and L.111-4 of the French Consumer Code, the essential characteristics and prices of the Products sold electronically are available on the Website.

The professional also provides the consumer with information relating to its identity, postal, telephone and electronic contact details, and activities, as well as information relating to legal guarantees, including the legal guarantee of conformity and the legal guarantee against hidden defects, after-sales service, and information relating to other contractual conditions, in accordance with Articles R.111-1 and R.111-2 of the French Consumer Code.

Furthermore, the Customer receives the information provided for in Articles L.221-5 and L.221-11 of the French Consumer Code, prior to and following the conclusion of the sale, in particular through these General Terms and Conditions of Sale.

These General Terms and Conditions of Sale apply to all sales of Products by the Seller through the Website.

The Customer declares having read these General Terms and Conditions of Sale prior to validating the order within the meaning of Article 5. Validation of the order therefore constitutes full and unconditional acceptance of these General Terms and Conditions of Sale.

These General Terms and Conditions of Sale apply to orders placed for delivery within the European Union and outside the European Union.

The GTCS are drafted in French, which alone shall prevail.

If any provision of the GTCS is declared null or unenforceable for any reason by a court or any other authority, such decision shall not affect the validity of the remaining provisions.

Article III: Seller’s Identity

Online sales of Products from the Website are offered and managed by Aurélie BENAZERA.

Article IV: Products

The Products offered for sale are described and presented on the Website in the product description.

Each Product is a unique piece, entirely handcrafted. Each Product is sold with a tamper-proof seal guaranteeing that it is brand new and has never been worn.

Although the Seller makes every effort to ensure that the photographs displayed on the Website are faithful and up-to-date representations of its Products, the Customer is expressly informed that such photographs and illustrations are provided for indicative purposes only and therefore do not constitute any contractual commitment or guarantee on the part of the Seller regarding perfect similarity between the Products ordered and the photographs or illustrations displayed on the Website or sent by email.

In all cases, the Customer is invited to contact the Seller using the contact details referred to in Article III above for any questions and/or additional information regarding the Products.

Article V: Order – Formation of the Sales Contract

5.1. Creation of a Customer Account

Any Customer declares that they have the legal capacity to contract under the conditions described herein, meaning that they are either an emancipated minor or of legal age and not subject to legal protection within the meaning of Article 488 of the French Civil Code.

An order may only be recorded on the Website if the Customer has clearly identified themselves by entering their Customer login (email address) and a unique password generated at each login.

New Customers may enter their email address in the “My Account” section to create a personal Customer account.

The Customer is responsible for the accuracy and completeness of the information provided on the Website, including identification details, name, postal address, email address, delivery address, valid phone number, and billing address, which are essential for order processing and delivery.

The Seller shall not be held liable for any failure, delay, or non-compliance in delivery resulting from errors or omissions in the information provided.

Provision of the personal information required for order processing and delivery is mandatory.

5.2. Order Process

To place an order, the Customer must follow the steps below:

Step 1: Validate the shopping cart and selected delivery method (including applicable fees).

Step 2: Identify themselves or create a Customer account by entering all required personal information. Existing Customers proceed directly to Step 3.

Step 3: Confirm delivery and billing addresses, select the delivery method, and click “Proceed to payment”.

Step 4: Review the order summary, including total price including taxes, delivery and billing addresses, select payment method, and complete payment via the secure payment page.

By validating the order, the Customer confirms their commitment and unconditional acceptance of these GTCS.

The order is submitted to the Seller for processing and may no longer be cancelled or modified, subject to the right of withdrawal described in Article VIII.

If payment cannot be processed, the sale shall be automatically cancelled and the order voided without any claim by the Customer.

5.3. Order Confirmation

An order confirmation email is sent including the order reference number, identification of the Products ordered, prices including delivery fees. Delivery is free within the European Union.

5.4. Order Tracking

The Customer may track order progress in the “My Account” section using their login credentials.

5.5. Delivery

The Customer receives electronic confirmation of shipment. Products are delivered to the address provided after receipt of payment.

5.6. Product Availability

The Seller undertakes to fulfill orders only within the limits of available Product stock. In the event that the Products are unavailable, the Seller undertakes to inform the Customer accordingly.

However, in accordance with Article L.121-11 of the French Consumer Code, the Seller reserves the right to refuse any order that is abnormal, placed in bad faith, or for any other legitimate reason, in particular where there is an existing dispute with the Customer concerning payment of a previous order.

Article VI: Prices and Payment Terms

6.1. Product Prices

The prices of the Products are indicated on the Website and in the order confirmation sent at the end of the ordering process.

Product prices are expressed in euros and are not subject to VAT (VAT not applicable pursuant to Article 293 B of the French General Tax Code).

Processing and delivery costs for the Products are borne by the Seller for shipments within the European Union.

The Seller also bears the cost of returning Products.

Returns are free of charge within the European Union within fourteen (14) days of receipt of the order. Beyond fourteen (14) days from receipt of the Product, returns will not be processed.

For all sales made outside the European Union, delivery, customs duties, and return costs are borne by the Customer, who acts as the importer of the Products.

The Seller reserves the right to modify prices at any time, it being understood that Products will be invoiced based on the prices in force at the time the order is registered, as displayed on the Website.

6.2. Payment Methods

Payment within the meaning of this Article consists of the effective transfer to the Seller of the funds corresponding to the total price inclusive of all taxes and fees.

Credit Card

Payment of the total price by the Customer may be made by credit card. Accepted cards include Cartes Bancaires, Visa, MasterCard, and American Express.

The transaction is immediately debited from the Customer’s credit card after verification of the card details and upon receipt of authorization from the card issuer.

In accordance with Article L.132-2 of the French Monetary and Financial Code, payment authorization given by credit card is irrevocable. By providing credit card details, the Customer authorizes the Seller to debit the card for the total amount.

The Customer confirms that they are the cardholder and that the name appearing on the card is their own. The Customer provides the sixteen-digit card number, expiration date, and, where applicable, the security code.

If the total price cannot be debited, the online sale will be automatically cancelled and the order voided.

The Seller implements all necessary measures to ensure the confidentiality and security of data transmitted on the Website. The Website uses the secure SHOPIFY solution to process online payments.

PayPal

Payment may also be made exclusively via the PAYPAL platform. The installment payment option offered by PayPal (four installments without fees) is independent of the Seller. The Customer must contact PayPal directly in case of rejection.

For further information, the Customer is invited to consult the PayPal website.

Invoices are available online in each Customer’s account.

Apple Pay

Payments via Apple Pay are accepted.

Article VII: Delivery of Products

7.1. Delivery Methods

The Customer selects one of the delivery methods offered on the Website when placing the order.

Delivery methods depend on the Customer’s choice and delivery zones and include:

  • Colissimo delivery with signature (France and European Union): 2 to 5 days

  • Mondial Relay delivery point (France): 2 to 5 days

  • DHL delivery with signature (outside the European Union): delivery time depending on destination

Before selecting a carrier for deliveries outside mainland France, the Customer is advised to consult the carrier’s general terms and conditions.

Orders are prepared and shipped after receipt of payment.

Delivery times are indicative average times and may vary depending on stock availability, order nature, preparation and shipping times, and periods of activity.

7.2. Delivery Address

Products are delivered to the address indicated by the Customer on the order form. The Customer must ensure the accuracy and completeness of the information provided. The Seller cannot be held responsible for errors resulting in delivery delays or errors.

Any reshipping costs incurred will be borne entirely by the Customer.

The Seller shall not be held liable for delivery delays caused by carriers, including strikes or disruptions in postal, transport, or communication services.

7.3. Delivery Fees

Delivery fees depend on the shipping destination.

Delivery and return are free for shipments within France and the European Union.

For shipments outside the European Union, delivery is also free of charge.

In all cases, delivery fees are indicated before order validation.

7.4. Delivery Times

Delivery times are indicated on the Website and may vary depending on Product availability.

Delivery times are expressed in business days and correspond to average preparation and shipping times.

Delivery times begin from the date of order confirmation by the Seller.

7.5. Delivery Delays

In the event of a delivery delay, the order is not cancelled.

The Seller informs the Customer by email of the delay. The Customer may then choose to cancel the order by sending an email notice of cancellation.

If the order has not yet been shipped, delivery is blocked and the Customer is refunded within fourteen (14) days.

If the order has already been shipped, the Customer may cancel by refusing the parcel. The Seller will refund the amounts paid within fourteen (14) days after receipt of the returned parcel in its original condition.

7.6. Delivery Tracking

The Customer may track the order status in the dedicated section of the Website.

7.7. Inspection Upon Delivery

The Customer must inspect the package and Product upon delivery.

Any reservations or complaints, including refusal of visibly damaged parcels, must be sent to the carrier by registered letter with acknowledgment of receipt within three (3) business days following delivery.

A copy must also be sent to the Seller. Failure to do so extinguishes any action against the carrier pursuant to Article L.133-3 of the French Commercial Code.

In case of non-conformity, the Customer must notify the Seller by email at info@sednon.com

Products may be returned only after the Seller’s approval.

Article VIII: Right of Withdrawal

The Customer has a right of withdrawal exercisable within fourteen (14) calendar days following receipt of the order.

Returned Products must be complete, unused, in original packaging, and with the tamper-proof seal intact.

Withdrawal must be notified by registered mail or email to info@sednon.com using the withdrawal form or an unequivocal statement.

The right of withdrawal does not apply to damaged or deteriorated Products unsuitable for resale.

Article IX: Warranties

The Seller is liable for lack of conformity and hidden defects under Articles 1641 to 1649 of the French Civil Code.

The Customer may choose between cancellation of the sale or price reduction under Article 1644 of the Civil Code.

Claims must be sent by registered letter. The Product must be accompanied by its invoice and tamper-proof seal.

Article X: Liability

The Seller’s obligations are suspended in cases of force majeure as defined by Article 1218 of the French Civil Code.

The Seller shall not be held liable for non-performance due to force majeure events, including but not limited to fire, strikes, pandemics, supply disruptions, power outages, or cyberattacks.

Article XI: Intellectual Property

The Products are protected by intellectual property rights.

The SEDNON trademark is registered with INPI under number 5127785.

The Product design is protected under design registration number 2025 1524.

All images and illustrations are the exclusive property of the Seller. Any unauthorized reproduction or use is strictly prohibited.

Article XII: Personal Data

Personal data is collected solely for order processing and delivery.

Data may be shared with partners such as SHOPIFY, COLISSIMO, DHL.

In accordance with GDPR, Customers have rights of access, rectification, erasure, portability, objection, and withdrawal of consent.

Complaints may be lodged with the CNIL.

Article XIII: Amicable Settlement of Disputes

The Customer may use a consumer mediator free of charge under Article L.612-1 of the French Consumer Code.

Information on mediators is available at economie.gouv.fr.

Article XIV: Governing Law and Jurisdiction

This Contract is governed by French law.

Any dispute shall fall under the exclusive jurisdiction of the courts of Paris.
